Terms of Service

Effective date: October 9, 2026

These terms cover the Backline Agency website and Backline Agency Inbox Organizer, the invite-only Gmail organizer for clients of Backline Agency LLC. If you are a client, your Client Services Agreement governs our engagement; where it and these terms differ, the agreement controls.

1. Who we are

The website at backlineagency.ai and the app at app.backlineagency.ai ("the app") are operated by Backline Agency LLC, a North Carolina limited liability company ("Backline Agency", "we", "us"), 8000 Discovery Falls Trail, Wake Forest, NC 27587. Questions about these terms: [email protected].

2. Using the website

The website describes what we do and lets you contact us. Its content may change without notice. You may read it and link to it. You may not scrape it, probe it for weaknesses, or use it to send unsolicited messages.

3. Using the app

Access to the app is by invitation from Backline Agency. To use it you must be 18 or older and must own, or be authorized by its owner to connect, any Gmail account you connect. You agree to:

  • keep your Google account credentials secure and tell us promptly if you suspect unauthorized access;
  • use the app only for the business purposes of your engagement with Backline Agency;
  • not attempt to reach another client's workspace, reverse engineer the app, or interfere with its operation.

We may suspend access to protect the app or other clients during a security incident or if these terms are breached. You can stop using the app at any time by disconnecting Gmail or deleting your workspace in settings.

4. Your engagement agreement

Fees, service scope, and the detailed terms of our work for you are set out in your Client Services Agreement and any portal addendum to it. These terms do not create a separate paid relationship.

5. AI-generated content

The app's categories, labels, summaries, alerts, and answers are produced by an AI model. They can be wrong, incomplete, or late. The app is a convenience layer over your inbox, not a replacement for reading it. You remain responsible for your mail, and you should not rely on the app alone for anything time-critical, legal, financial, or safety-related.

6. SMS Terms

If you confirm a mobile number in the app's settings, Backline Agency Inbox Organizer can send you text messages. The program works like this:

  • What you receive. Two kinds of messages, both about your own email: scheduled inbox summaries at the times you configure, and urgent alerts when an incoming email meets urgency criteria you have set. We do not send marketing by text.
  • How you opt in. You enter your mobile number in the app's settings, we text you a one-time code, and you enter the code to confirm the number. No other messages are sent until you confirm.
  • Frequency. Message frequency varies with the schedule you choose and the mail you receive.
  • Cost. Message and data rates may apply, according to your mobile plan.
  • How to stop. Reply STOP to any message. You will get one confirmation text and nothing further. You can also remove the number in the app's settings. Reply START to resubscribe.
  • Help. Reply HELP to any message, or email [email protected].
  • Coverage. United States numbers on major US carriers. Carriers are not liable for delayed or undelivered messages.
  • Your number. Your mobile number and consent record are used only to send these messages. We do not sell or share your SMS opt-in data or personal information with third parties for marketing purposes, and we do not share mobile information with affiliates for marketing or promotional purposes. Our Privacy Policy describes what we keep.

7. Privacy

How we handle your Google account, Gmail data, and mobile number is described in our Privacy Policy, which is part of these terms.

8. Ownership

The website, the app, and their design and code belong to Backline Agency. Your categories, descriptions, schedules, and settings are yours; we use them only to run the app for you, and we will provide them as an export on request when your engagement ends. Labels the app created in your Gmail stay with your Gmail.

9. Availability and changes

We run the app on a best-effort basis without an uptime guarantee. Scheduled processing can be delayed. We may change or retire features, and will tell connected clients by email when a change affects how the app works for them.

10. Disclaimer and limitation of liability

The website and the app are provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose. To the fullest extent permitted by law, Backline Agency is not liable for indirect, incidental, or consequential damages, or for missed, misfiled, delayed, or undelivered emails, summaries, or alerts. For clients, our total liability is capped as stated in the Client Services Agreement. For anyone else, it is capped at one hundred US dollars.

11. Governing law

These terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules. Disputes will be brought in the state or federal courts located in Wake County, North Carolina, unless your Client Services Agreement says otherwise.

12. Changes and contact

If these terms change in a way that matters to how you use the website or the app, we will update this page and its effective date and notify connected clients by email. Contact: Backline Agency LLC, [email protected].
